Last Updated: October 10, 2026 · For authorized business users of BRENO P FITNESS INC
These terms are between Conversion Is Key ("CIK"), owner of the COASISIQ™ platform, and BRENO P FITNESS INC ("BPFit") and each person BPFit authorizes to use the platform ("Authorized User").
1. License
CIK grants BPFit a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use COASISIQ™ for BPFit's own business during the applicable service relationship.
2. Ownership
COASISIQ™, its software, design, documentation and underlying technology remain the property of Conversion Is Key and its licensors. Administrative access does not transfer ownership. BPFit keeps ownership and control of its own business content and data, and grants CIK the rights needed to host, process and display that content to provide the service.
3. Authorized users and security
Access is role-based. Authorized Users must keep credentials confidential, use only the permissions granted, not share accounts, and promptly report suspected unauthorized access. BPFit is responsible for activity by its Authorized Users and for removing access when someone should no longer have it.
4. Acceptable use
Do not use the platform unlawfully; to send spam; to upload malicious code; to infringe others' rights; to attempt to bypass security or access controls; or to reverse-engineer, copy or resell the platform.
5. Third-party services
The platform may connect to third-party services (for example hosting, email delivery, maps, video, review and widget providers). Those services are governed by their own terms, and CIK is not responsible for their availability or practices.
6. BPFit responsibilities
BPFit is responsible for the legality and accuracy of its content, claims, testimonials, offers and communications; for obtaining any consents required to collect and use client information; and for its business operations. BPFit is responsible for obtaining its own business-specific legal, medical, intake, informed-consent and waiver documents required for its services.
7. Not a health-record platform
COASISIQ™ is not currently a medical-record or health-record system for BPFit and must not be used to store medical records or detailed health information unless a later feature release, appropriate written agreements and security controls are specifically enabled. CIK makes no HIPAA representation and is not acting as a business associate unless separately agreed in writing.
8. Data, export and termination
On request and subject to platform capability, CIK will make reasonable efforts to help BPFit export its business content and data. Either party may end the service relationship as provided in any separate agreement. After termination, access ends and data may be retained for a reasonable period and in backups, then deleted, except where retention is required by law.
9. Availability
CIK works to keep the platform available but does not guarantee uninterrupted or error-free operation. Maintenance, updates and third-party outages may affect availability.
10. No professional advice
The platform and its documentation do not provide legal, tax, medical, regulatory or other professional advice.
11. Disclaimer and limitation of liability
To the extent permitted by law, the platform is provided "as is," and CIK's total liability relating to the platform is limited to the amounts BPFit paid for the platform in the twelve months before the claim. Neither party is liable for indirect or consequential damages. These limits do not apply where prohibited by law, including for gross negligence or intentional misconduct.
12. Versions and electronic acceptance
These terms are versioned. Authorized Users accept electronically when signing in to the portal; the platform records the user, document, version, content fingerprint, timestamp and acceptance action, consistent with Florida Statutes §668.004 and §668.50. Material updates require acceptance again before continued access. The current version remains available to Authorized Users in the portal.
13. Governing law
These terms are governed by Florida law. Any separate written agreement between CIK and BPFit controls if it conflicts with these terms.
